These Terms of Use (“Terms”) govern your access to and use of the Virtual Stage Academy (VSA) app, provided by Shambhala Living Pty Ltd (“we,” “our,” or “us”). For the purposes of using the app, the business name Virtual Stage Academy (VSA) will apply, even though the umbrella company behind this service is Shambhala Living Pty Ltd.

 

By installing, accessing, or using the Virtual Stage Academy Overlays for OBS app (“the App”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

 

2. Use of the App

 

The Virtual Stage Academy (VSA) app is a tool designed to enhance the Zoom experience by integrating interactive overlays for presentations and live streaming. These overlays can display chat messages, emoji reactions, and other interactive content during live sessions and webinars on Zoom.

 • You may only use the App for lawful purposes and in accordance with these Terms.

 • You agree to provide accurate, up-to-date information when installing and using the app, including all Zoom account details.

 • You acknowledge that you are solely responsible for any content shared through the app, including chat messages, emoji reactions, and overlays.

 

3. User Account and Security

 

To use the App, you must sign in with your Zoom account and authorize the app to access your Zoom data, including chat messages and reactions, as per the permissions granted during installation. You are responsible for maintaining the confidentiality of your Zoom login credentials and any other information related to your account.

 • If you share access to your Zoom account, you acknowledge that you are responsible for any actions taken by those individuals through your account.

 • You agree to immediately notify us of any unauthorized use or breach of your account security.

 

4. Restrictions on Use

 

You may not:

 • Use the App in a way that could damage, disable, overburden, or impair the operation of the App or any related services.

 • Attempt to reverse engineer, decompile, or otherwise attempt to gain access to the source code of the App.

 • Use the App in any manner that violates applicable laws, regulations, or these Terms.

 

5. Privacy and Data Collection

All intellectual property rights in the App and its contents, including but not limited to design, code, graphics, logos, and trademarks, are owned by Shambhala Living Pty Ltd or its licensors. These Terms do not grant you any ownership rights to the App or any intellectual property associated with it.

 

8. Disclaimers and Limitation of Liability

 

The App is provided “as is” without any warranties or representations of any kind, express or implied. Shambhala Living Pty Ltd does not guarantee that the App will be error-free, secure, or available at all times.

 

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the App.

 

9. Indemnification

 

You agree to indemnify, defend, and hold harmless Shambhala Living Pty Ltd, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the App or any violation of these Terms.

 

10. Governing Law

 

These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Australia.
